1. Acceptance of These Terms
These Terms of Service ("Terms") are a binding agreement between you and Shoreline Medical Administration, LLC, a Wyoming limited liability company ("Shoreline," "we," "our," or "us"). These Terms govern your access to and use of the website located at www.shorelinemedicaladmin.com, including any content, forms, functionality, and services offered on or through the website (collectively, the "Site").
By accessing or using the Site, you accept and agree to be bound by these Terms and our Privacy Policy, which is incorporated into these Terms by reference. If you do not agree to these Terms, do not access or use the Site.
If you are using the Site on behalf of a medical practice, clinic, physician, or other organization, you represent and warrant that you are authorized to act on that organization’s behalf and to bind it to these Terms, and "you" includes both you individually and that organization.
2. Who We Are
Shoreline provides medical administration services, including claims administration, billing support, and related services, to healthcare providers and other clients ("Clients"). The Site provides information about our services and allows visitors to contact us, book meetings, submit claims, and execute certain documents electronically.
3. Our Services; Separate Agreements Control
The Site itself does not provide medical administration services. Our services are provided to Clients under separate written agreements, which may include a master services agreement, statement of work, Business Associate Agreement ("BAA"), and other contract documents (collectively, "Service Agreements"). If there is a conflict between these Terms and a Service Agreement, the Service Agreement controls with respect to the services it covers, and any BAA controls with respect to Protected Health Information ("PHI") as defined under the Health Insurance Portability and Accountability Act of 1996 and its implementing regulations, each as amended ("HIPAA").
4. Eligibility
The Site is intended for users who are at least 18 years old and is directed to businesses and healthcare professionals in the United States. By using the Site, you represent that you meet these requirements.
5. The ATLAS Portal
Shoreline offers a secure online portal known as ATLAS (the "Portal"), available to authorized Client personnel at dashboard.shorelinemedicaladmin.com. Access to and use of the Portal is governed by the ATLAS End User License Agreement presented at login and by the applicable Service Agreements — not by these Terms. Nothing in these Terms grants any right to access the Portal.
6. Claims Submissions
The Site includes a claims submission form. By submitting a claim through the Site, you additionally agree to the following:
- You must be an authorized representative of the physician, practice, or entity on whose behalf the claim is submitted, or have that party’s explicit consent to submit the claim.
- All required fields must be completed accurately and completely. You are responsible for the accuracy of the information you submit, and Shoreline is not liable for errors resulting from inaccurate or incomplete submissions.
- Submitted claims will be reviewed by Shoreline’s billing reviewers to validate acceptance under the terms of the applicable Service Agreement. Shoreline reserves the right to accept or reject any claim based on its review, and will communicate the reasons for any rejection in a timely manner.
- Information provided in a claim submission will be treated as confidential and used for the purpose of processing and administering the claim and as otherwise permitted under the applicable Service Agreement and BAA.
7. Protected Health Information
Except through the claims submission form and other channels we expressly designate as secure for that purpose, do not submit PHI or other sensitive patient information through the public areas of the Site, including the general contact form, meeting booking tools, or newsletter sign-up. PHI should be exchanged with Shoreline only through the Portal or other secure channels established under your Service Agreement and BAA.
8. Electronic Communications and Signatures
By using the Site, you consent to receive communications from us electronically, and you agree that all agreements, notices, disclosures, and other communications we provide to you electronically satisfy any legal requirement that such communications be in writing. Where the Site permits you to execute documents electronically (including an electronic BAA), you agree that your electronic signature is the legal equivalent of your handwritten signature, consistent with the federal ESIGN Act and applicable state law.
9. Acceptable Use
You agree not to, and not to attempt to:
- Use the Site in any way that violates applicable federal, state, or local law or regulation, including HIPAA and healthcare fraud and abuse laws;
- Submit false, misleading, or fraudulent information, including in any claim submission;
- Impersonate any person or entity, or misrepresent your affiliation with any person or entity;
- Access or attempt to access any non-public area of the Site or any other user’s information without authorization;
- Introduce viruses, malware, or other harmful code, or interfere with the proper working of the Site;
- Use any robot, spider, scraper, or other automated means to access the Site or collect content or data from it;
- Copy, reproduce, modify, distribute, or create derivative works from the Site or its content except as expressly permitted.
10. Intellectual Property
The Site and its entire contents, features, and functionality — including text, graphics, logos, trademarks, service marks, and software — are owned by Shoreline or its licensors and are protected by United States and international copyright, trademark, and other intellectual property laws. These Terms do not grant you any right, title, or interest in the Site or its content other than a limited, revocable, non-exclusive license to access and use the Site for its intended purposes. "Shoreline Medical Administration," "ATLAS," and associated logos are trademarks of Shoreline; you may not use them without our prior written consent.
11. Feedback
If you provide suggestions, ideas, or other feedback about the Site or our services, you grant Shoreline a perpetual, irrevocable, royalty-free license to use that feedback for any purpose without obligation to you.
12. Third-Party Websites and Services
The Site may contain links to third-party websites or rely on third-party services (for example, scheduling and website hosting providers). Shoreline does not control and is not responsible for third-party websites or services, and linking does not imply endorsement. Your use of third-party websites and services is at your own risk and subject to their terms and privacy policies.
13. No Professional Advice
Content on the Site is provided for general informational purposes only and does not constitute medical, legal, billing, coding, or reimbursement advice. Site content is not a substitute for the professional judgment of qualified healthcare, legal, or billing professionals, and Shoreline does not guarantee any particular reimbursement, coverage, or claims outcome.
14. Disclaimer of Warranties
THE SITE AND ALL CONTENT AVAILABLE THROUGH IT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, SHORELINE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. THIS SECTION DOES NOT LIMIT ANY WARRANTY EXPRESSLY PROVIDED IN A SERVICE AGREEMENT.
15. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, SHORELINE AND ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AGENTS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SITE, WHETHER BASED ON CONTRACT, TORT, STATUTE, OR ANY OTHER LEGAL THEORY, EVEN IF SHORELINE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE FULLEST EXTENT PERMITTED BY LAW, SHORELINE’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE SITE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100). THIS SECTION DOES NOT LIMIT LIABILITY UNDER A SERVICE AGREEMENT, WHICH IS GOVERNED BY ITS OWN TERMS, AND DOES NOT APPLY TO LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW.
16. Indemnification
You agree to defend, indemnify, and hold harmless Shoreline and its members, managers, officers, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms, your misuse of the Site, or information you submit through the Site, including any claim submission made without proper authorization.
17. Suspension and Termination
We may suspend or terminate your access to the Site at any time, with or without notice, including if we reasonably believe you have violated these Terms. Sections of these Terms that by their nature should survive termination (including Sections 10, 14, 15, 16, 18, and 19) will survive.
18. Governing Law and Venue
These Terms and any dispute arising out of or related to them or the Site are governed by the laws of the State of Wyoming, without regard to its conflict-of-law principles. Subject to Section 19, any legal action arising out of or related to these Terms or the Site must be brought exclusively in the state or federal courts located in Sheridan County, Wyoming, and you consent to the personal jurisdiction of those courts.
19. Dispute Resolution
Before filing any legal action, you agree to first contact us at info@shorelinemedicaladmin.com and attempt in good faith to resolve the dispute informally for at least thirty (30) days. TO THE FULLEST EXTENT PERMITTED BY LAW, EACH PARTY WAIVES ANY RIGHT TO A JURY TRIAL AND AGREES THAT ANY CLAIM MUST BE BROUGHT IN THE PARTY’S INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. Any claim arising out of or related to these Terms or the Site must be filed within one (1) year after the claim accrues or it is permanently barred, unless a longer period is required by applicable law.
20. Changes to These Terms
We may revise these Terms from time to time. The updated version will be posted on this page with a revised "Last Updated" date, and material changes will be effective upon posting (or a later date stated in the notice). Your continued use of the Site after changes become effective constitutes acceptance of the revised Terms.
21. Miscellaneous
These Terms, together with the Privacy Policy and any additional terms referenced herein, constitute the entire agreement between you and Shoreline regarding the Site and supersede all prior understandings regarding the Site. If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision is not a waiver. You may not assign these Terms without our prior written consent; we may assign them without restriction. No agency, partnership, joint venture, or employment relationship is created by these Terms or your use of the Site.
